Terms of Use

1. Acceptance of Terms

By creating an account on or otherwise accessing the SimEOC platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of the Service

SimEOC provides a web-based virtual Emergency Operations Center (EOC) simulation platform for conducting functional exercise training, emergency management research, and educational instruction. The Service includes exercise builder tools, inject management, role-based participation, and after-action reporting capabilities.

3. Accounts and Access

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Organization Administrators are responsible for managing user access within their workspace, including inviting participants, assigning roles, and removing users when appropriate.

You agree to notify us immediately at contact@simeoc.com if you become aware of any unauthorized access to your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable federal, state, local, or international law or regulation
  • Attempt to gain unauthorized access to any part of the Service, another user's account, or any system or network connected to the Service
  • Introduce malware, viruses, or other harmful code into the platform
  • Use the Service to transmit unsolicited communications or spam
  • Reproduce, distribute, modify, or create derivative works of any part of the Service without our written permission
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Misrepresent your identity or affiliation when using the Service

5. Your Content

You retain ownership of all content you create within the Service, including exercises, injects, and after-action data ("User Content"). By using the Service, you grant SimEOC a limited license to store, process, and display your User Content solely to provide the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. SimEOC does not review User Content and is not responsible for it.

6. Intellectual Property

The SimEOC platform, including its software, design, trademarks, and all associated intellectual property, are owned by SimEOC and protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership rights in the Service.

7. Subscriptions and Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as described in our refund policy.

We reserve the right to change our pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

If payment fails, we will notify you and may suspend your access to paid features until payment is resolved.

8. Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your access to the Service will cease, and your data will be retained for 90 days before permanent deletion.

We reserve the right to suspend or terminate your account at any time, with or without notice, for violations of these Terms or for any other reason at our discretion. In the event of termination for cause, no refund will be issued.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SIMEOC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SIMEOC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which SimEOC is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of competent jurisdiction in that state.

12. Changes to These Terms

We may modify these Terms at any time. We will notify registered users of material changes by email or through an in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
